# NICE: ten times earnings for the contact-centre cloud; does AI eat the seat?

Research memo, not a recommendation. Capture timestamp for every figure below unless stated: 2026-10-31T12:00+01:00 (Europe/Luxembourg). Tags: **confirmed** (company filing or release), **est.** (our arithmetic), **speculated** (analyst or third-party mapping).

## Investment memo: our current view

- NICE is a profitable, debt-free CX software company priced like a shrinking one: about 10x FY2026 non-GAAP EPS guidance and about 2.0x EV/sales (est., 30 Oct 2026 close USD 113.76).
- Growth is real but its quality is slipping: cloud +12.6% in Q2 2026 (about 10% organic after Cognigy's ~250 bp), AI ARR USD 362M (confirmed, Q2 2026 6-K, 5 Aug 2026; +52% y/y per the earnings call), but non-GAAP operating margin down to 25.3% from 30.2% (confirmed, 6-K) and cloud net revenue retention 106% (earnings call and presentation, 5 Aug 2026; not in the 6-K release).
- The single question: does usage-priced AI (Cognigy, Mpower agents) grow faster than the per-seat revenue it cannibalises? The money ladder below shows why that is the swing factor.
- Our base case USD 118 sits 3.7% above the price; the consensus target USD 132.77 sits 16.7% above. Average of available fair values (consensus and ours) USD 125.39, meter green. Morningstar fair value pending.

## What the business actually sells

- **CXone Mpower**: cloud contact-centre platform (routing, omnichannel, workforce management, quality, analytics) sold per seat, with AI copilots and agents on top. Cloud was USD 609.0M, 78% of Q2 2026 revenue (confirmed).
- **Cognigy**: conversational AI agent platform, acquired for ~USD 955M (closing announced 8 Sep 2025, confirmed; cash funding, ~USD 50M holdback and 158,000 ADS are from deal summaries, not in the closing release: speculated). Being merged into one native CXone platform during 2026 (confirmed, Q4 2025 call).
- **Services** (USD 124.6M, -11.3%) and **product** (USD 48.6M, +7.0%): the legacy on-premise base moving to cloud (confirmed).
- NICE also sells financial-crime and compliance software (Actimize) and public-safety software; the Q2 release gives no segment split (gap).

## Where CXone sits: one contact centre, and the money that reaches NICE

Reference unit: one enterprise contact centre with 1,000 agent seats (all est.).

- Agent labour: 1,000 x USD 50k fully loaded = USD 50M a year.
- CCaaS seats: 1,000 x ~USD 150 per month x 12 = USD 1.8M a year. NICE does not publish per-seat pricing (speculated range USD 100 to 250).
- AI agents and copilots: USD 0.5 to 1M a year, usage priced.
- If AI agents absorb 30% of contacts and seats fall by the same share: labour saved USD 15M, seat revenue lost USD 0.54M. AI revenue per centre must beat that loss for NICE to grow inside the centre.
- Closing comparison: FY2026 revenue guide midpoint USD 3.18B equals about 1,750 such centres at USD 1.8M each.

FY2025 (reported 19 Feb 2026, confirmed): revenue USD 2.945B (+8%), cloud USD 2.238B (+13%; 12% ex Cognigy), AI ARR USD 328M at Q4 (+66%), cloud backlog +25% (the ex-Cognigy splits 12% and +22% are from the call, not the release: speculated), USD 460M debt repaid (debt free at year end), USD 489M of buybacks, new USD 600M authorisation.

Guidance: FY2026 revenue USD 3.17 to 3.19B reiterated on 5 Aug 2026 (confirmed); non-GAAP EPS raised to 11.06 to 11.26 (confirmed) from 10.85 to 11.05 (confirmed, Q4 2025 6-K); cloud growth 13 to 15% (confirmed). Q3 2026: revenue USD 780 to 790M, non-GAAP EPS 2.73 to 2.83 (confirmed).

The GAAP to non-GAAP gap widened (GAAP EPS 1.40 vs 2.70): Cognigy intangibles amortisation and share-based pay. The low P/E is on non-GAAP numbers.

## Competitors and market share (31 October 2026)

| Company | Role | Est. CCaaS-related revenue | Sells the same part | Tag |
|---|---|---|---|---|
| NICE (CXone, Cognigy) | Merchant CCaaS plus AI agents | Cloud ~USD 2.4B run-rate (Q2 x 4) | yes | est. from confirmed |
| Genesys (Cloud CX) | Private, merchant | ~USD 2.5 to 3B | yes | speculated |
| Five9 | Merchant CCaaS | ~USD 1.1B | yes | speculated |
| Amazon Connect | Hyperscaler, usage priced | not disclosed | yes, low price | speculated |
| Salesforce, Microsoft | CRM platforms adding contact centre | not disclosed | partly | speculated |
| Sierra, Decagon, other AI-native agents | AI agent layer only | small, fast growing | AI layer only | speculated |

Gartner's CCaaS Magic Quadrant has placed NICE and Genesys among leaders in recent editions; the 2026 edition was not captured (gap). No primary TAM figure was captured, so share under two anchors is open.

## Scenarios: 2030 revenue under bust, base and boom (31 October 2026)

Starting point: FY2026 guide midpoint USD 3.18B (confirmed guidance).

- **Bust, ~USD 3.4B (about 1.7% a year, est.)**: AI agents cut seat counts faster than Cognigy usage grows; services keep shrinking; margins stay near 25%. Close to what a 10x multiple implies.
- **Base, ~USD 4.2B (about 7% a year, est.)**: cloud grows high single digits, AI ARR reaches ~USD 1B, services fade. Near the 7 to 8% consensus trajectory.
- **Boom, ~USD 5.0B (about 12% a year, est.)**: NICE owns the AI-agent layer at usage prices above the seat value lost. Driver: AI ARR compounding near 40%. Ceiling: Genesys, Amazon and AI-native agents price the same layer.

## Valuation: market data and scenario values as of 31 October 2026

## Leadership and governance (31 October 2026)

### Who runs it
- CEO **Scott Russell**, hired from outside (former SAP executive board member, customer success), announced 15 Aug 2024, CEO effective 1 Jan 2025 (confirmed, NICE release 15 Aug 2024).
- Predecessor **Barak Eilam**, CEO from 2014, who led the CXone cloud transition; he announced his retirement and stepped down at the end of 2024, staying as a strategic consultant in H1 2025 (confirmed date; consultant role per Reuters, speculated).
- Since the hand-over the share price fell by about half in 2025 (speculated, third-party summaries) while revenue kept growing about 8%.

### Promises vs delivery
| Date | Promise | What came next | Tag |
|---|---|---|---|
| 19 Feb 2026 | FY2026 revenue USD 3.17 to 3.19B | Reiterated 5 Aug 2026 | confirmed |
| 19 Feb 2026 | Cloud growth 14.5 to 15% (Cognigy ~200 bp per call summaries) | Q2 cloud +12.6%; FY range now 13 to 15% | confirmed range (Q4 2025 6-K); Cognigy share speculated; a soft cut |
| 19 Feb 2026 | Non-GAAP EPS 10.85 to 11.05 | Raised to 11.06 to 11.26 | confirmed (both, Q4 2025 and Q2 2026 6-Ks) |
| Q2 2026 guide | Q2 revenue range | Beat the top of the range | confirmed |
| 2025 | Cognigy accretive within ~18 months; one native platform in 2026 | Pending | confirmed promise |

### Revenue-quality test (SaaS version)
- Organic cloud growth about 10% (12.6% less ~250 bp Cognigy, est.).
- Cloud net revenue retention 106% (confirmed, Q2 2026 call/presentation, 5 Aug 2026), with "targeted strategic renewals" cited.
- Services -11%: on-premise migration, not a cloud win by itself.
- International +22% y/y (confirmed, 6-K); EMEA about USD 100M, +30% (Q2 call, 5 Aug 2026), helped by Cognigy and currency.
- H1 2026 operating cash flow USD 301.9M vs buybacks USD 311.2M (confirmed): buybacks run slightly ahead of cash generation (est.).
- AI ARR is 15% of cloud revenue (confirmed).
- Not captured: contract liabilities trend, customer concentration (audit gap).

### Insider register
Not captured. As a foreign private issuer NICE insiders do not file Form 4; holdings and pay are in the 20-F. Pending the IBKR ownership pull and the 2025 20-F.

### Red flags
- GAAP operating margin down from 22.1% to 13.3% in one year.
- Cloud growth guide range widened downward to 13 to 15%.
- No restatement, auditor change or short report found in this pass (not exhaustive).

### Next hard test
Q3 2026 results, first half of November 2026. NICE had not published the date by 31 Oct 2026; aggregators disagree (StockAnalysis 4 Nov, TipRanks 12 Nov, Earnings Whispers 13 Nov; last year's Q3 was 13 Nov 2025). Bar: revenue USD 780 to 790M, non-GAAP EPS 2.73 to 2.83, cloud growth near 12.6%, and any 2027 framing of AI ARR against seat counts.
