Why this company is on the research list
Boston Scientific was one of the best compounders in large-cap medtech into 2025: sales reached USD 20.07B in 2025 (confirmed, 10-K filed 17 Feb 2026), up from USD 14.24B in 2023, and adjusted EPS reached USD 3.06 (confirmed, Q4 2025 release, 4 Feb 2026). The share price peaked near USD 105 in November 2025 and closed at USD 41.98 on 30 October 2026 (Yahoo chart API, captured 31 Oct 15:00), a fall of about 60% while reported sales kept rising. A drop of that size in a business of this quality is the question this memo tries to answer: is the market pricing a permanent loss of the two growth engines (pulsed field ablation and Watchman), or a temporary stall plus a one-off cyber outage?
Investment memo: our current view
Quality at a value multiple, with no near-term catalyst and an acquisition still to close. The franchise is intact outside two businesses. In Q3 2026 Interventional Cardiology and Vascular Therapies grew 12% and Neuromodulation 13% (confirmed, 28 Oct 2026). But the two engines that carried 2024 and 2025 have both turned: Electrophysiology fell 5.3% organic to USD 816M and Watchman fell 5.9% to USD 482M (confirmed). Pulsed field ablation (PFA) is now 80% to 85% of US ablation procedures, so the conversion tailwind is spent, and Medtronic, Johnson & Johnson and Abbott have taken share (company comments reported by MedTech Dive, 29 Jul 2026; share figures speculated). Watchman lost part of its referral funnel after the CHAMPION-AF data (March 2026) changed which patients are sent for left atrial appendage closure (company: "changes in patient identification and referral", confirmed; trial reading speculated).
On top of that, a cyber incident on 25 August 2026 shut ordering, manufacturing and shipping for about eight business days (8-Ks of 26 Aug and 8 Sep 2026, confirmed). Management puts the Q3 cost at about 300 bps of organic growth and USD 0.07 of adjusted EPS (call, 28 Oct 2026, speculated via news summaries). Guidance has now been cut three times in 2026: reported sales growth from 10.5 to 11.5% (February) to about 4.25% (October), adjusted EPS from USD 3.43 to 3.49 to USD 3.16 to 3.18 (confirmed). The CEO said 2027 sales and EPS will be challenged to grow (MedTech Dive, 28 Oct 2026, speculated quote).
At USD 41.98 the shares trade on about 13.2x 2026 adjusted EPS and about 11.7x trailing adjusted EBITDA (est.), against a three-year average forward P/E near 26.5x (aggregator, 31 Mar 2026, speculated). Free cash flow should still be about USD 3.6B in 2026 (company estimate, confirmed), a yield near 5.9% (est.). Insiders bought into the decline: the CEO bought about 186,240 shares at USD 48.33 on 3 August 2026 and three directors bought smaller lots (Form 4s, EDGAR). The company also repurchased about 40M shares with a USD 2B accelerated buyback completed by June (confirmed).
Our scenario values today are USD 29 bust, USD 46 base, USD 72 boom (2028 adjusted EPS times a P/E, discounted two years at 9%; arithmetic below). The price sits between bust and base. TipRanks' 21-analyst average target is USD 49.85 (30 Oct 2026, speculated), and the post-Q3 broker targets we found run from USD 44 to 57. We found no Morningstar fair value through the web tools; it is left for the IBKR capture.
The next hard test is the Q4 2026 report with first 2027 guidance, expected in early February 2027 (date not yet announced; Q4 2025 was reported on 4 February 2026). Before it, the Penumbra close (expected early Q1 2027) sets how much debt the balance sheet carries into 2027.

What the business actually sells
Boston Scientific makes catheters, implants and single-use devices across eight businesses in two segments. From 1 January 2027 it reports three: Interventional Therapies, Rhythm Solutions and MedSurg (8-K 7 Oct 2026, confirmed).
| Business (Q3 2026) | Net sales | Organic growth | Main products |

Where the catheter sits: one AF patient and the money that reaches Boston Scientific
One US AF patient · PFA ablation plus concomitant Watchman
What a point of EP share is worth · est.
The reference unit is one US atrial fibrillation patient treated with PFA ablation plus a concomitant Watchman implant, the procedure combination the company is now steering toward. Boston Scientific discloses no device prices, so every cost below is our estimate.
| Layer | Who pays or sells | Cost per patient | Tag |
|---|---|---|---|
| 01 Hospital episode (EP lab, anaesthesia, stay) | Hospital, paid by Medicare or insurer | USD 45k to 60k | est. |
| 02 Ablation procedure | Electrophysiologist, EP lab | USD 25k to 35k of that | est. |
| 03 Ablation disposables: PFA catheter, mapping, ICE | Boston Scientific, or Medtronic, J&J, Abbott | USD 8k to 12k | est. |
| 04 Watchman FLX Pro implant | Boston Scientific (Abbott Amulet the main rival) | USD 10k to 13k | est. |
| Boston Scientific content, both used | USD 18k to 25k | est. |
Money ladder (est.): 2025 Watchman sales of USD 1.96B (speculated, research summary of the Q4 2025 release; MedTech Dive 28 Oct 2026 gives only the near 30% growth) at about USD 11.5k per device is about 170,000 implants a year worldwide. 2025 EP sales of USD 3.33B (speculated, transcript summary) at about USD 10k per case is about 330,000 cases. The company deck sizes complex-arrhythmia ablation at USD 3B+, so one point of US PFA share is worth roughly USD 25 to 35M of annual sales. The closing comparison: losing ten points of US PFA share costs about USD 300M of sales, about 1.5% of group revenue. The EP slowdown hurts the growth rate far more than it hurts the size of the company.

Quarterly trend 2026: Q1 sales about USD 5.20B (est. as 9M less Q2 and Q3; +11.6% reported), Q2 USD 5.44B (+7.5%), Q3 USD 5.14B (+1.5%), Q4 guide -3% to -1% (about USD 5.13 to 5.23B, est.). Adjusted gross margin fell 300 bps to 68.0% in Q3 and adjusted operating margin 150 bps to 26.5% (confirmed). Days sales outstanding rose from 51 to 56 and inventory days stand at 178 (confirmed), consistent with orders shipped late after the outage.
Balance sheet at 30 September 2026: debt USD 11.95B, LTM adjusted EBITDA USD 6.19B, 1.9x (confirmed, deck appendix C). Cash was USD 539M at 30 June (10-Q, confirmed); the 30 September figure awaits the 10-Q. Stockholders' equity USD 24.9B and goodwill USD 18.6B at 30 June (confirmed).
Restructuring: a 2026 plan approved on 21 July 2026 costs USD 700 to 800M pre-tax (USD 600 to 700M cash) through 2029 and targets about USD 500M of annual gross savings, a substantial portion to be reinvested (8-K 27 Jul 2026, confirmed).
Competitors and market share (31 October 2026)
| Company | Overlap | Role | Note | Tag |
|---|---|---|---|---|
| Medtronic | PFA (PulseSelect, Affera Sphere-9), CRM, neuromodulation | Merchant | Mapping-plus-PFA catheter gaining in US EP | speculated (press) |
| Johnson & Johnson MedTech | EP mapping (CARTO), PFA | Merchant | Large installed mapping base | speculated |
| Abbott | EP (PFA), Amulet LAAC, CRM | Merchant | The main direct Watchman rival in the US | speculated |
| Edwards, Medtronic | TAVR | Merchant | Relevant only if the MiRus SIEGEL option is exercised | confirmed (BSX release 18 May 2026) |
| Stryker, Medtronic | Neurovascular thrombectomy | Merchant | Penumbra's competitors | speculated |
Share anchors: PFA was about 70% of US ablation and close to 50% globally at end 2025 (Q4 2025 call, speculated via transcript summaries) and 80 to 85% of US procedures by July 2026 (MedTech Dive, 29 Jul 2026, speculated). Neither figure is Boston Scientific's own PFA share; we found no primary source for that number. The company sizes its 2026 served market at about USD 75B growing about 7% (deck, confirmed).
Scenarios: 2028 earnings and 2030 revenue under bust, base and boom (31 October 2026)
Start: 2026 sales about USD 20.9B (est. from guidance), adjusted EPS USD 3.17 (guidance midpoint, confirmed), plus about USD 1.5B of Penumbra sales from 2027 (est.).
| Case | 2030 revenue | Sales CAGR 2026 to 2030 incl. Penumbra | 2028 adjusted EPS | P/E | Value in 2028 | Value today (9%, 2 years) |
|---|---|---|---|---|---|---|
| Bust | about USD 25.2B | 3% | USD 2.90 | 12x | USD 34.8 | USD 29.3 |
| Base | about USD 28.3B | 6% | USD 3.40 | 16x | USD 54.4 | USD 45.8 |
| Boom | about USD 31.6B | 9% | USD 3.90 | 22x | USD 85.8 | USD 72.2 |
Arithmetic (all est.): 2030 revenue = (20.9 + 1.5) x (1 + g)^4. Base EPS path: 2027 about flat at USD 3.15 (cyber add-back +0.07, Penumbra dilution -0.07, EP and Watchman drag as management describes), then about 8% in 2028 from restructuring savings and Penumbra integration. Discount factor 1.09^2 = 1.188, so base value today = 3.40 x 16 / 1.188 = 54.4 / 1.188 = USD 45.8. Bust assumes EP keeps losing share and Watchman declines through 2028. Boom needs EP back to market growth with FARAPOINT and OPAL mapping, concomitant Watchman growth and a partial return toward the historical multiple. The single driver of the boom case is US EP share. Against consensus: the post-Q3 targets (USD 44 to 57) sit around our base case; none we found are near the boom case.

Penumbra deal arithmetic
Terms (announced 15 Jan 2026, joint release on EDGAR, confirmed): USD 374 per Penumbra share in cash or 3.8721 BSX shares, prorated to about 73% cash and 27% stock; enterprise value about USD 14.5B; USD 0.06 to 0.08 dilutive to adjusted EPS in the first full year. With BSX at USD 41.98 the stock leg is worth 3.8721 x 41.98 = USD 162.55, so the blended value is 0.73 x 374 + 0.27 x 162.55 = USD 316.9 (est.), against a Penumbra close of USD 318.95 (30 Oct 2026, Yahoo). The visible Penumbra discount to USD 374 is almost all BSX's own fall, not doubt about the close. New BSX shares: about 38.8M Penumbra shares (14.5B / 374, est.) x 27% x 3.8721 = about 40M (est., 2.8% dilution). New debt about USD 11B (speculated, press); pro forma leverage about (11.95 + 11) / (6.19 + 0.3) = about 3.5x (est.; Penumbra EBITDA of 0.3B speculated).

Latest IBKR news: - 30 Oct 2026 Dow Jones / Benzinga: TD Cowen cuts Boston Scientific to Hold from Buy, target 46 from 56
Leadership and governance (31 October 2026)
Who runs it
- Mike Mahoney, chairman and CEO. Hired, not a founder. Joined as president in 2011 from Johnson & Johnson's medical devices and diagnostics group after a career at GE Healthcare; CEO since November 2012, succeeding Ray Elliott, who retired; chairman since 2016. (From company leadership pages and proxy history, not re-fetched this session, so tagged speculated until the 2026 proxy is read.) The 2026 guidance cuts are the first sustained miss of his tenure.
- Joe Fitzgerald, promoted to EVP and chief operating officer from 1 Jan 2027, base salary USD 1.05M, bonus target 110% of salary (8-K 7 Oct 2026, confirmed). At the company since 1990; ran Cardiovascular since May 2022. A COO appointment under a long-serving CEO is often a succession step (speculated).
- Arthur Butcher, EVP and group president MedSurg and Asia Pacific, retires 1 Jan 2027 (8-K 23 Sep 2026, confirmed). Stephen Morse takes MedSurg and Asia Pacific, Lance Bates leads Interventional Therapies (including Penumbra), Nick Spadea-Anello leads Rhythm Solutions (8-K 7 Oct 2026, confirmed).

|---|---|---|---|
| 4 Feb 2026 (Q4 2025) | 2026 reported growth 10.5 to 11.5%, adjusted EPS USD 3.43 to 3.49 | Cut in April | confirmed (MedTech Dive summary of releases) |
| 22 Apr 2026 (Q1) | 7 to 8.5%, USD 3.34 to 3.41 | Cut in July | confirmed (same) |
| 29 Jul 2026 (Q2) | 5.5 to 6.5%, USD 3.28 to 3.32; Q3 growth 3 to 5% | Q3 came in at 1.5% (cyber); cut in October | confirmed (Q2 and Q3 releases) |
| 28 Oct 2026 (Q3) | About 4.25%, USD 3.16 to 3.18; Q4 -3 to -1%; Penumbra close early 2027 | To be tested in February 2027 | confirmed |
Every quarter of 2026 lowered the year. Q2 itself beat its own guide (7.0% organic vs 5 to 7%), so the misses come from forecasting EP and Watchman, then from the outage.
Revenue-quality test
- Growth concentration: in 2025 EP (USD 3.33B, +73% organic, speculated via transcript summary) and Watchman (USD 1.96B, +29%, speculated via research summary) were about 26% of sales but most of the growth. Both now decline.
- The rest of the business grows about 6% (company comment, July 2026, speculated quote); ICVT +12% in Q3 (confirmed).
- Geography Q3 2026: US 64% of sales (+0.5%), EMEA +6.1% operational, APAC -1.1% (China volume-based procurement), LACA +10.5% (confirmed).
- Working capital: DSO up to 56 days from 51 (confirmed) after the outage; watch whether it normalises in Q4.
- Non-GAAP gap: Q3 GAAP EPS USD 0.40 vs adjusted USD 0.73. Amortization (USD 0.14), restructuring (0.05), acquisition (0.04) and litigation (0.04) charges are excluded (confirmed). Litigation charges of USD 157M in 9M 2026 against nil a year earlier need the 10-Q note.

| 25 Aug 2026 | Susan Morano, director | buy 2,040 | about USD 49.22 | confirmed (Form 4) |
The CEO's purchase (about USD 9M) is large for a hired CEO, and all four buys were above today's price. We did not check for later Form 4 sales.
Red flags
- Cyber incident (25 Aug 2026): material to Q3 and FY 2026 results, investigation ongoing; the company says no material long-term impact (8-K 8 Sep 2026, confirmed). Any litigation or regulatory follow-up is unknown.
- Accolade pacemaker battery issue: FDA correction in the most serious class; 4 deaths and 2,557 serious injuries reported as of 18 Mar 2026; the fix is a software update; a New York Times report (March 2026) said the problem was known for years; product-liability class investigations announced (FDA notice confirmed, the rest speculated).
- Three guidance cuts in one year, the third with a 2027 "challenged to grow" comment.
- Watchman evidence: CHAMPION-AF reportedly showed slightly more ischaemic strokes with Watchman FLX than with anticoagulants (press summaries, speculated; the primary paper should be read before relying on it).
- No restatements, auditor change or delayed filings found.
Next dated hard test
- Penumbra close, expected early Q1 2027 (company, 28 Oct 2026): financing terms set 2027 interest cost and leverage.
- Q4 2026 results and first 2027 guidance, expected early February 2027 (not yet announced; Q4 2025 was reported on 4 February 2026). Pass marks: Q4 sales inside -3% to -1%, US EP and US Watchman sequentially stable, DSO back near 51 days, 2027 adjusted EPS guidance at or above flat including Penumbra.
